Corporate govenance is not just a notion used in management ; it also is, in the scope of this course, a certain vision of how society should be regulated (see article « commece reweaves the social fabric »). The content of the notion can be highly cultural.
This recap’ sheet reminds you quickly of the elements used by the teams in their exposés to define « corporate governance » ; I will however concentrate on the American origin of the notion, thus explaining why the notion isn’t so popular in France. ... Generally speaking, corporate governance presents itself as capitalism with a human face. A related notion is « corporate citizenship ». ... More specifically, corporate governance consists in a set of minimal guidelines in the way they are run (inside factors) and in the way they do business (outside factors) so that companies :
- respect their employees’ basic rights
- enhance their employee’s participation in the decision-making processes
- which implies empowerment and transparency
- and more generally respect all of the company’s stakeholders’ interests
- which implies the company’s accountability in all of these domains. ... Corporate governance may be a good management tool, and even a needed one.
